Terms of Use for Instructors

1. Introduction and General Provisions

Welcome to Udao, a platform that aims to make knowledge and learning accessible worldwide. These Terms of Use (“Terms”) apply to all instructors (“you”, “your”) who wish to offer courses on the Udao platform (“Platform”). By using our Platform to offer your courses, you agree to be legally bound by these Terms.

1.1 Definitions

  • “Platform” refers to the websites, applications, and services provided by Udao that enable Instructors to create, publish, and sell Courses.
  • “Instructor” means any person or entity that creates, publishes, and/or teaches Courses on the Platform.
  • “Courses” include all teaching materials, videos, documents, and other content made available by Instructors on the Platform.

1.2 Acceptance of The Conditions

By registering as an instructor and using the platform to provide courses, you declare that you have read, understood, and accepted these terms and conditions.

As part of your registration as an Instructor with the Udao Platform, you agree to comply with these Terms and Conditions for Instructors (“Terms”). These Terms include details of the aspects relevant to Instructors in relation to the Udao Platform and are incorporated by reference into our General Terms of Use, i.e., the general terms and conditions governing your use of our services. Any basic terms not defined in these Terms shall have the meaning defined in the Terms of Use.

1.3 Relationship Between anywAI AG and Instructors

The relationship between anywAI AG and you as an Instructor is that of an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Udao. You acknowledge that you have no authority or power to represent or legally bind Udao in any matter.

2. Account Creation and Management

2.1 Registration

In order to offer courses, you must create an instructor account on the platform. You agree to provide true, accurate, current, and complete information about yourself when registering.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. Udao will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3. Rights and Granting of Rights of Use

The rules contained in the Terms of Use apply, with the following clarifications.

3.1 Rights to the Content

As an instructor, you or your licensors retain all copyrights and other intellectual property rights to the content you provide, in particular the course materials. However, by making your courses available on Udao, you grant us a license to use this content.

3.2 Granting of Rights of Use to anywAI AG

However, by providing your content, in particular the course materials on Udao, you grant us a license to use this content to the extent provided for in the Terms of Use.

As an instructor, you may not grant your participants a direct license for the content. Directly issued licenses are invalid and constitute a violation of these terms and conditions.

4. Remuneration for Instructors

4.1 General Remuneration Policy

As an instructor at Udao, you have the opportunity to receive remuneration from us for your content provided on Udao. The calculation of the remuneration is based on the revenue of your content that anywAI AG receives on the platform from other users of its content, whereby Udao offers a transparent and fair remuneration structure.

The instructor undertakes not to demand or accept any direct payments from users/participants of the courses.

4.2 Payout Mechanism

  • Payments: The remuneration for your courses depends on the payment currency of the participants. If your courses were paid for in UDAO, you will receive your remuneration in UDAO. Otherwise, the payout will be made in USDT. Payments are transferred directly to your connected wallet, which is a secure and efficient way to receive your earnings.
  • Timing of Payout: Payouts will be made by anywAI AG after the withdrawal period has expired to ensure that participants have the opportunity to exercise their right of withdrawal if necessary.

4.3 Remuneration Share

  • Share of The Instructors: For every course sold, you as an instructor will receive 75% of anywAI AG's revenue from it. The remaining 25% covers the operating costs of anywAI AG and supports the further development of the platform.
  • Transparency: anywAI AG ensures that all transactions and payouts are transparent. Instructors have full insight into their sales figures and the resulting income at all times.

4.4 Changes to The Remuneration Structure

Udao reserves the right to adjust the compensation structure and amount. Such changes will be announced at least 30 days before they come into effect to give instructors sufficient time to adjust.

5. Course Updates and Management

5.1 Course Updates

Instructors are encouraged to regularly review and update their courses as necessary to ensure that the content remains current and relevant. The following guidelines apply to course updates:

  • Duty to Update: Instructors should review their courses at least once a year and update them if necessary. This includes revising outdated materials, adding new content, and updating to the latest industry standards.
  • Notification of Participants: Any significant updates to course content should be communicated to anywAI AG. anywAI AG is then responsible for informing participants who have already completed or are currently enrolled in the course of these updates.

5.2 Course Management

Instructors are responsible for the management of their courses. This includes adherence to the following practices:

  • Quality Assurance: Instructors must ensure that their courses meet Udao's quality standards. This includes appropriate use of language, clear structure, and accuracy of content.
  • Participant Feedback: AnywAI AG will regularly inform instructors about the feedback received from participants. Instructors should, where possible, use this feedback to improve their courses.
  • Technical Support: In case of technical problems with the course platform or materials, instructors should contact Udao support to ensure a quick solution.

6. Final Provision

Unless otherwise stipulated in these Terms of Use for Instructors, the General Terms of Use apply.
